1Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of the Otto platform and related services (the “Service”) provided by Otto AI (“Otto,” “we,” “us,” or “our”), accessible at ottosales.ai.

By creating an account, clicking “I agree,” or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation, and “you” refers to that organisation.

2Description of Service

Otto is an AI-native Customer Relationship Management (CRM) platform designed to help sales professionals manage pipelines, automate prospecting, prepare for meetings, and analyse sales performance using artificial intelligence.

The Service is currently in beta. Features, availability, and pricing are subject to change. We will endeavour to provide reasonable notice of material changes.

Otto is intended for business and professional use. You must be at least 18 years old and capable of forming a binding contract to use the Service.

3Account Registration & Security

To access the Service, you must create an account. You agree to:

• Provide accurate, complete, and current registration information
• Maintain the security of your credentials and not share them with others
• Notify us immediately at security@ottosales.ai of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

You may register using a Google account via OAuth 2.0. By doing so, you also agree to Google's Terms of Service and authorise Otto to receive the data described in our Privacy Policy.

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe may have been compromised.

4Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to transmit unlawful, harmful, harassing, defamatory, or fraudulent content
• Attempt to gain unauthorised access to the Service or its underlying infrastructure
• Reverse-engineer, decompile, or extract the source code of any part of the Service
• Use automated means (bots, scrapers) to access the Service in ways that exceed normal usage
• Use the Service to send unsolicited bulk communications (spam)
• Violate any applicable laws, including data protection regulations in your jurisdiction
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

We reserve the right to investigate suspected violations and to suspend or terminate access accordingly.

5Your Content

You retain ownership of all data, records, and content you input into the Service (“Your Content”). By using the Service, you grant Otto a limited, non-exclusive licence to process Your Content solely as necessary to provide and improve the Service.

You are solely responsible for the accuracy and legality of Your Content. You represent that you have all necessary rights to input and process the data you provide, including any personal data belonging to third parties (e.g., your contacts and prospects).

We do not claim ownership over Your Content and will not use it to train third-party AI models without your explicit consent.

6Intellectual Property

The Service, including its design, software, AI models, branding, and all associated intellectual property, is owned by Otto AI and protected by applicable intellectual property laws. These Terms do not grant you any rights to Otto's intellectual property other than the limited right to use the Service as described herein.

Feedback, suggestions, or ideas you provide about the Service may be used by Otto without restriction or compensation to you.

7Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your data. By using the Service, you consent to the data practices described in the Privacy Policy.

8Beta Service & Availability

The Service is currently offered as a beta product. This means:

• Features may be incomplete, change, or be removed without notice
• We do not guarantee specific uptime or availability during beta
• Beta access may be granted, revoked, or modified at our discretion

We will endeavour to maintain reasonable availability but are not liable for downtime or data loss during the beta period.

9Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OTTO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS.

AI-generated content (including pipeline analysis, meeting briefs, and sales recommendations) is provided for informational purposes only and should not be relied upon as professional business, legal, or financial advice. You are responsible for independently verifying any AI-generated information before acting on it.

10Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OTTO AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION — ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OTTO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO OTTO IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 (USD), WHICHEVER IS GREATER.

11Termination

You may stop using the Service and delete your account at any time by contacting support@ottosales.ai.

We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or for any other reason at our discretion, with or without notice.

Upon termination, your right to use the Service ends immediately. Provisions of these Terms that by their nature should survive (including intellectual property, disclaimers, and limitation of liability) will survive termination.

12Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms with a new effective date and, where appropriate, by email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

If you do not agree to the revised Terms, you must stop using the Service.

13Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts in the jurisdiction where Otto AI is incorporated, unless otherwise required by applicable consumer protection law.
